These Terms of Service (“Terms”) govern your access to and use of www.insiderbehavior.com (the “Site”) and the Insider Intelligence weekly brief (collectively, the “Service”), provided by Insider Behavior LLC (“we,” “us,” or “our”). By accessing the Site or subscribing to the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Insider Intelligence is a research summary derived from public SEC Form 4 insider filings. We organize, rank, and contextualize publicly available filing data and deliver it as a weekly brief and as content on the Site. The Service is for informational and educational purposes only.
2. No investment advice
Insider Behavior LLC is not a registered investment adviser, broker-dealer, or financial planner. Nothing in the Service is, or should be interpreted as, investment, financial, legal, accounting, or tax advice, or a recommendation to buy or sell any security. The Service does not consider your individual financial situation, objectives, or risk tolerance.
You are solely responsible for your investment decisions. Past insider activity does not predict future performance. Trading securities involves risk, including the loss of principal. You should consult a licensed financial advisor before making investment decisions.
The author(s) and affiliates of the Service may hold positions in securities discussed in the Service and may transact in those securities at any time without notice.
3. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent that you (a) meet this age requirement, (b) are not a person barred from receiving the Service under the laws of the United States or any other applicable jurisdiction, and (c) will use the Service in compliance with all applicable laws and regulations.
4. Subscription & account
Subscribing to the weekly brief requires you to provide a valid email address. You are responsible for keeping your contact information current. You may unsubscribe at any time using the unsubscribe link in any email or by contacting us. We may suspend or terminate your subscription at our discretion, including for violations of these Terms.
5. License to use the Service
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access the Site and read the weekly brief for your own personal, non-commercial use. This license does not include any right to:
- Resell, sublicense, or commercially exploit the Service or its contents.
- Republish, redistribute, or share the brief beyond limited fair-use quotation with attribution.
- Use the Service to compete with us or to build a competing product.
6. Acceptable use
You agree not to:
- Use the Service in violation of any law, regulation, or third-party right.
- Scrape, crawl, or extract data from the Site by automated means beyond what robots.txt allows.
- Reverse-engineer, decompile, or attempt to derive source code from the Service.
- Interfere with the Service’s operation or attempt to gain unauthorized access.
- Use the Service to send spam or to harass others.
- Misrepresent your identity or affiliation when communicating with us.
7. Intellectual property
All content in the Service — including text, ranking methodology, charts, design, and the Insider Intelligence and Insider Behavior names and marks — is owned by Insider Behavior LLC or its licensors and is protected by copyright, trademark, and other laws. The underlying SEC filing data is public, but our selection, arrangement, ranking, and commentary are not. Limited fair-use quotation is permitted with attribution and a link to the Site.
8. Third-party services
The Service is delivered using third-party providers (currently Kit for email, Cloudflare for hosting). Use of those providers is subject to their respective terms and privacy policies. We are not responsible for their independent acts or omissions.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT INFORMATION IN THE SERVICE IS COMPLETE, ACCURATE, OR TIMELY.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INSIDER BEHAVIOR LLC OR ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PORTIONS OF THIS LIMITATION MAY NOT APPLY TO YOU.
11. Indemnification
You will indemnify and hold harmless Insider Behavior LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any applicable law or third-party right.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason — including for violation of these Terms. You may stop using the Service at any time by unsubscribing. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive.
13. Governing law & venue
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or related to these Terms or the Service will be the state or federal courts located in King County, Washington, and you consent to personal jurisdiction in those courts.
14. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Material changes will be communicated via the Site or, where appropriate, via email. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
15. Miscellaneous
- Entire agreement. These Terms (together with our Privacy Policy) are the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No partnership. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and us.
